  • Effective board meetings:
    • Sole directors - consideration of recent caselaw including Hashmi v Lorimer-Wing
    • Virtual meetings - the benefits and potential problems with technology (including discussion regarding ‘ICSA guidance on good practice for virtual board and committee meetings’)
    • Conflicts of interest
    • Notice of meetings and board packs
  • How shareholders make decisions:
    • General meetings including virtual meetings
    • Written resolutions
  • Record Keeping:
    • Records of decisions
    • Statutory registers
    • Identifying the company’s PSC
    • Economic Crime and Corporate Transparency Act 2023 changes
    • Companies House requirements
