This virtual classroom seminar will cover the up-to-date key points for consideration when accepting an appointment as a director, looking at the key duties of directors of private UK companies under the Companies Act 2006, including discussing good practice in the boardroom.

  • Directors - the fundamentals, including:
    • Who is a company director
    • Current advice based on recent 2023 cases examining where parent company directors can be held liable as de facto directors of subsidiaries
    • How directors are appointed (including changes under new legislation)
  • Setting a baseline - an overview of each of the statutory duties (and how they operate) plus recent judgements
  • Focus:
    • s.177 - including what should be put in the minutes
    • Articles exercise applying s.172/177
    • GC100 original conflicts identifier and discussion surrounding conflicts
  • Consequences of breach including lessons to learn from recent judgement/current failures
  • Practical guidance and action points to aid compliance
  • Q and A
