Minority shareholder disputes can be very disruptive, distracting company directors while creating ill-feeling among the rest of the shareholders.
To advise your clients properly, you need to know what the legal remedies are for both minority and majority shareholders involved in a dispute. As if that weren't complex enough, there is a separate remedy, known as the derivative claim, when the problem is directorial mismanagement. It is possible to use the courts to resolve disputes, but far preferable to use well-drafted documentation to minimise the opportunity of disputes arising.
