Course description

This virtual classroom session will explore the taxes which apply on the disposal of a business and how these are dealt with in a business purchase agreement.


Aimed at tax professionals and corporate lawyers, this interactive session will provide an example of a hive down alternative for disposing of business assets and high-level demerger alternatives to a hive down within a group. It will look at key topics such as direct taxes on business disposals including capital gains assets, intangible fixed assets, and capital allowances, as well as VAT and TOGC rules, stamp taxes, and transactions in securities rules.


Presenter David Hadley, Tax Director at Mercer & Hole, regularly advises on reorganisations of businesses, including incorporations, statutory demergers, capital reduction schemes and section 110 reconstructions, so this online session is the perfect opportunity to bring you up to date.
