The Cass Business School Corporate Governance programme provides candidates with the tools to understand the complex governance challenges facing companies and investor community. This intensive two-day programme focuses on the managerial aspects of corporate governance and how to build an effective relationship between the board of directors, the top executives, shareholders and the key stakeholders.
This 2-day executive level course offers a long-term investor perspective on company governance and how to balance shareholder and stakeholder requirements. The programme will provide candidates with both an academic and practical knowledge of corporate governance and will enhance your professional contribution, whether you are a company executive, board director, investor, professional advisor, service provider or stakeholder.
Suitability - Who should attend?
This executive education programme is aimed at corporate governance professionals of a high academic calibre, demonstrated by a good university degree and proven senior management experience with responsibility for a P&L and results of people. All candiates are required to go through a screening process to ensure a high calibre cohort.

This corporate governance training programme is structured as follows:
Day 1: The Role of Corporate Governance in Firms
- What does the academic research tell us?
- In whose interest are firms managed?
- What is the role of large owners, institutional investors and shareholder activists?
- What is the impact of the Stewardship Code?
- What is the role of regulation, ethics and corporate culture?
Evening Round Table: Shareholders vs Stakeholders
All participants will join a discussion with a panel of experts on the conflicts between the shareholder and the stakeholder views of corporate governance. In particular we will address how the company's directors must both understand and provide a sustainable balance between shareholders' and stakeholders' interests in promoting the long-term commercial success of the firm.
Day 2: The Role of the Board of Directors in Corporate Governance
- What is the role of non-executive directors in strategic decisions, CEO succession, risk management, executive compensation? What are the key aspects of responsible leadership, and its links with business ethics and corporate sustainability?
- What should boards be thinking about in terms of composition and nomination?
- Incentive structures: how should remuneration link to strategy, risk and ethics?
- What is the existing evidence about board structure and effectiveness?
- Ethics and values: why are they important and how to boards build effective cultures?
Evening Round Table: Strategy, Risk and Remuneration
All participants will join a discussion with a panel of experts on whether executive compensation alleviates or exacerbates corporate governance. It will review existing practice and explore how incentive structures might best influence management behaviours and sustainable long-term performance.
Pedagogical Method: The course uses a combination of lectures, case studies, and interactive discussions.
The cost of this training course is £2,395 (no VAT will be charged), which includes all meals and refreshments and course materials. Delegates will need to organise their own accommodation. There are preferential rates available at nearby hotels.
